Marketing Services Retainer Agreement

Agreement version retainer-2026-11-01-v2

1. Agreement and Services

This Marketing Services Retainer Agreement is between the Client identified on this enrollment form and Arizona Strategy (the Agency).

By electronically signing or accepting this agreement, the Client agrees to engage the Agency for the marketing, SEO, backlink creation, AI optimization, automation software, and/or setup services selected on the Retainer Enrollment Form.

Services selected on this form: None selected yet.

The selected services, agreed pricing, and retainer term collectively form the Client's service agreement with the Agency.

The Agency agrees to provide the selected services using commercially reasonable efforts and professional judgment.

2. Retainer Term and Financial Commitment

The Client agrees to an initial retainer term of either six (6) months or twelve (12) months, as selected on the enrollment form.

Term selected on this form: Not selected yet..

The initial term begins on the Date signed entered on this form.

The Client is financially responsible for the full value of the selected retainer term, regardless of whether the Client continues using the services, achieves anticipated results, or chooses to discontinue participation before the term expires.

The Client acknowledges that the retainer represents a binding financial commitment for the entire selected term and not a month-to-month agreement during the initial commitment period.

Early cancellation, suspension of services requested by the Client, failure to provide required information or access, or dissatisfaction with campaign performance does not relieve the Client of the obligation to pay the remaining contracted retainer fees.

Any unpaid fees remaining under the initial term will continue to be billed according to the agreed payment schedule unless the parties agree otherwise in writing.

This obligation is subject to applicable law and does not eliminate the Client's rights or remedies in the event of the Agency's material breach, fraud, or other circumstances in which payment cannot legally be enforced.

3. Payment Terms

Retainer pricing is determined individually and communicated to the Client through a separate written quote, accepted order, or Stripe payment authorization.

The Client agrees to pay the established retainer amount on the agreed recurring billing schedule.

Payments may be processed automatically through Stripe using the payment method authorized by the Client.

Setup fees, when applicable, are separate from recurring retainer fees and are due as specified in the accepted quote or payment agreement.

Failure to make timely payments may result in suspension of services after appropriate notice. Suspension for nonpayment does not automatically terminate the agreement or eliminate valid outstanding payment obligations.

This enrollment form does not collect a card number and does not create a Stripe charge or subscription.

4. No Guarantee of Results

The Agency does not guarantee specific rankings, website traffic, backlinks being indexed, AI search mentions, leads, conversions, sales, revenue, or return on investment.

The Client understands that digital marketing, search engine optimization, backlink strategies, artificial intelligence platforms, and advertising campaigns are subject to factors beyond the Agency's control.

These factors may include, but are not limited to:

  • Google and other search engine algorithm updates.
  • Changes to AI-generated search results and recommendation systems.
  • Competitor activities and increased market competition.
  • Changes in customer behavior, demand, and economic conditions.
  • Advertising platform policies, pricing, and availability.
  • Third-party website decisions, backlink removal, or indexing changes.
  • Unexpected market disruptions, technological developments, and regulatory changes.

The Agency will use commercially reasonable efforts to perform the contracted services but makes no representation that any particular business outcome will occur.

The Client's obligation to pay the agreed retainer is not conditional upon achieving particular performance metrics or financial results, provided the Agency fulfills its contractual obligations.

5. Client Responsibilities

The Client agrees to provide reasonable cooperation, accurate information, necessary account access, approvals, and other materials required for the Agency to perform the selected services.

Delays caused by the Client's failure to provide required cooperation do not automatically extend the retainer term or suspend the Client's payment obligations.

The Agency will make reasonable efforts to notify the Client of material issues preventing service delivery.

6. Completion of Initial Term and Month-to-Month Renewal

Upon completion of the initial six- or twelve-month retainer term, this agreement will automatically continue on a month-to-month basis unless either party provides written notice of termination in accordance with this agreement.

The monthly retainer amount in effect at the end of the initial term will remain the applicable monthly charge unless the Agency provides notice of a pricing change.

The Client will not be required to enter into another six- or twelve-month commitment unless both parties expressly agree to a new fixed-term agreement.

After the initial term, either party may terminate the month-to-month agreement by providing at least thirty (30) days' written notice.

7. Pricing Changes After the Initial Term

The agreed monthly retainer price will remain fixed throughout the initial six- or twelve-month term unless both parties expressly agree otherwise in writing.

After the initial retainer term has expired, the Agency reserves the right to modify its monthly service pricing.

The Agency will provide the Client with at least thirty (30) days' written notice before any price increase takes effect.

If the Client does not wish to continue at the revised price, the Client may terminate the month-to-month agreement before the new rate becomes effective, without incurring a new fixed-term commitment.

Continued service following the effective date of a properly communicated price change constitutes acceptance of the revised monthly rate, to the extent permitted by applicable law.

8. Cancellation and Early Termination

During the initial retainer term, the Client may request that services be discontinued; however, such a request does not automatically release the Client from the remaining contracted financial commitment.

The Agency may agree to an early termination or settlement arrangement at its discretion, subject to applicable law.

After the initial retainer term, the agreement may be canceled with thirty (30) days' written notice.

The Agency may terminate the agreement for material breach, unlawful activity, or other legally permissible cause, subject to any required notice and opportunity to cure.

If the Agency materially breaches the agreement and fails to cure that breach within a reasonable period after written notice, the Client retains any termination and other remedies available under applicable law.

9. Third-Party Platforms and Services

The Agency may use third-party software, advertising networks, search engines, AI systems, hosting providers, and automation platforms to deliver services.

The Agency is not responsible for third-party algorithm changes, service outages, account restrictions, or platform decisions outside its reasonable control.

Where such events materially interfere with service delivery, the Agency will make commercially reasonable efforts to adjust its approach or provide an appropriate alternative consistent with the contracted scope.

10. Electronic Acceptance

By checking the agreement acceptance box and completing the electronic signature process, the Client acknowledges that:

Card details are not collected here. Stripe billing happens separately, using the pricing in your quote or checkout. A customer email copy and GoHighLevel are not connected, so those steps do not run.
