Terms and Conditions

These Terms and Conditions (“Terms”) govern your access to and use of the websites, landing pages, forms, dashboards, and related digital properties operated by Arizona Strategy (“Arizona Strategy,” “we,” “us,” or “our”), as well as the purchase and receipt of any services offered by Arizona Strategy and its partners, contractors, affiliates, and authorized representatives (collectively, the “Company”).

By accessing our websites, submitting information, requesting a proposal, or purchasing services, you agree to be bound by these Terms. If you are entering into an agreement on behalf of a business or other entity, you represent that you have authority to bind that entity. If you do not agree, do not use our websites or services.

These Terms are supplemented by any written proposal, statement of work, order form, invoice, or service agreement executed between you and Arizona Strategy. In the event of a conflict, the signed service agreement controls with respect to the specific services described therein, except where applicable law requires otherwise.

1. Acceptance of Terms

Your use of our websites constitutes acceptance of these Terms and our Privacy Policy, Cookie Policy, Disclaimer, and Cancellation Policy, each of which is incorporated herein by reference.

We may modify these Terms at any time by posting updated Terms on our website. Changes become effective upon posting unless otherwise stated. Continued use of our websites or services after changes are posted constitutes acceptance of the revised Terms.

2. Services Overview

Arizona Strategy provides digital marketing and related services that may include, without limitation, search engine optimization, local SEO, paid search and display advertising, web design and development, content creation, review management, reporting, consulting, AI-related visibility services, and ancillary support services.

Services may be performed directly by Arizona Strategy personnel or through approved subcontractors, platform partners, software vendors, and third-party specialists. You acknowledge that certain deliverables depend on third-party platforms, policies, algorithms, and approvals outside our control.

Service descriptions on our websites are for general informational purposes. Specific scope, deliverables, timelines, and fees are defined in your proposal, contract, or invoice.

3. Payment Terms — Services Paid Upfront

Unless otherwise stated in writing, all services are paid upfront for the term selected by the customer at the time of purchase or contract execution. Accepted payment methods, billing frequency, and term length will be specified in your proposal, checkout flow, or invoice.

By submitting payment, you authorize Arizona Strategy to charge the agreed amount for the selected service term. Fees are generally non-refundable except as expressly stated in our Cancellation Policy or required by applicable law.

You are responsible for providing accurate billing information and promptly updating payment details. Failure to pay amounts when due may result in suspension or termination of services, removal of access, withholding of deliverables, collection efforts, and assessment of applicable late fees or interest where permitted by law.

All fees are quoted in U.S. dollars unless otherwise specified. You are responsible for any taxes, duties, bank fees, chargebacks, or transaction costs associated with your payment, except where Arizona Strategy is legally required to collect and remit tax.

4. Right to Change Prices

Arizona Strategy reserves the right to change prices, fees, packages, promotional offers, and billing structures at any time, in its sole discretion, for new purchases, renewals, add-on services, or future service terms.

Price changes will not retroactively alter amounts already paid for a completed billing period unless required by law or expressly agreed in writing. Upon renewal or purchase of additional services, updated pricing will apply.

Promotional credits, discounts, or special offers may be subject to expiration dates, eligibility requirements, and additional terms disclosed at the time of offer.

5. Right to Modify, Suspend, or Discontinue Services

Arizona Strategy reserves the right to change, modify, suspend, discontinue, or replace any service, feature, deliverable, platform integration, reporting format, or support offering at any time, with or without notice, to the extent permitted by your applicable service agreement.

We may update methodologies, tools, vendors, campaign structures, or internal processes as we deem appropriate for quality, compliance, security, or business reasons.

If a material change affects active contracted services, we may, but are not obligated to, offer a reasonable alternative, credit, or termination option as determined by Arizona Strategy in its sole discretion.

6. Right to Cancel or Refuse Service

Arizona Strategy reserves the right to cancel, suspend, or refuse service to any customer at any time, for any reason or no reason, including non-payment, abusive conduct, fraudulent activity, chargebacks, legal risk, platform policy violations, or incompatibility with our business operations.

Refund eligibility upon cancellation by either party is governed by our Cancellation Policy, which is incorporated into these Terms by reference. Please review the Cancellation Policy for details regarding refunds and work completed.

7. Client Responsibilities

You agree to provide timely access, approvals, assets, account credentials, brand guidelines, and information reasonably necessary for us to perform services. Delays caused by your failure to respond or provide required materials may extend timelines and are not the responsibility of Arizona Strategy.

You represent that you have rights to all content, trademarks, images, and materials supplied to us and that their use in marketing activities will not infringe third-party rights or violate applicable law.

You are responsible for compliance with industry regulations applicable to your business, including advertising disclosures, privacy notices, consent requirements, and platform-specific rules.

8. Third-Party Platforms and Accounts

Many services require access to third-party accounts such as Google Ads, Google Business Profile, analytics platforms, website CMS accounts, hosting environments, or social media properties. You grant Arizona Strategy the access necessary to perform services and remain responsible for account ownership and platform compliance.

Arizona Strategy is not liable for account suspensions, ad disapprovals, ranking changes, policy enforcement actions, billing changes, or service interruptions imposed by third-party platforms.

9. Intellectual Property

Unless otherwise agreed in writing, Arizona Strategy retains ownership of its pre-existing materials, frameworks, templates, methodologies, software, dashboards, and proprietary processes. Upon full payment, you receive a license to use deliverables created specifically for you as described in your service agreement.

You may not copy, reverse engineer, resell, or commercially exploit our proprietary systems, internal tools, or confidential processes without prior written consent.

Feedback, suggestions, or testimonials you provide may be used by Arizona Strategy for marketing and service improvement purposes unless you notify us otherwise in writing.

10. Confidentiality

Each party may receive non-public information from the other. Both parties agree to use reasonable efforts to protect confidential information and not disclose it except as necessary to perform services, comply with law, or with consent.

Confidentiality obligations do not apply to information that is publicly available, independently developed, or lawfully obtained from a third party without restriction.

11. Disclaimers and No Guarantee of Results

EXCEPT AS EXPRESSLY SET FORTH IN A SIGNED WRITTEN AGREEMENT, SERVICES AND WEBSITES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” ARIZONA STRATEGY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Marketing performance depends on numerous external factors, including search engine algorithms, advertising auction dynamics, website quality, competition, seasonality, economic conditions, platform policy changes, and user behavior. Arizona Strategy does not guarantee specific rankings, traffic levels, lead volumes, revenue outcomes, return on ad spend, or other performance metrics unless explicitly stated in a signed guarantee document subject to its own terms.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARIZONA STRATEGY AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND PARTNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THESE TERMS, OUR WEBSITES, OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARIZONA STRATEGY’S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO ARIZONA STRATEGY FOR THE SPECIFIC SERVICES GIVING RISE TO THE CLAIM DURING THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER, UNLESS PROHIBITED BY LAW.

Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you.

13. Indemnification

You agree to defend, indemnify, and hold harmless Arizona Strategy and its owners, officers, employees, contractors, affiliates, and partners from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your content, products or services, misuse of our deliverables, violation of these Terms, violation of law, or infringement of third-party rights.

14. Dispute Resolution and Governing Law

These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law principles, except where preempted by applicable federal law.

Any dispute arising out of or relating to these Terms or services shall be brought exclusively in the state or federal courts located in Maricopa County, Arizona, and you consent to personal jurisdiction in such courts.

You waive any right to participate in a class action or representative proceeding against Arizona Strategy to the extent such waiver is permitted by law.

15. Miscellaneous

These Terms, together with incorporated policies and any signed service agreement, constitute the entire agreement regarding website use and general service terms unless superseded by a specific written contract.

If any provision is held invalid or unenforceable, the remaining provisions remain in effect. Failure to enforce any provision is not a waiver of future enforcement.

You may not assign these Terms without our prior written consent. Arizona Strategy may assign these Terms in connection with a merger, acquisition, or sale of assets.
